Without knowing the error that you are receiving - try temporarily disabling your firewall and anti virus software.
Have you tried updating over the air via WiFi in the settings? Settings>General>Software Update?

It may just be that you don't have a good enough WiFi connection to update the iPad via WiFi at your home - I assume that you are attempting this at home. You could try updating somewhere else using another WiFi hotspot.
You can also try updating within iTunes on your computer - if you have a computer. Connect the iPad to the computer and launch iTunes. Click on the iPad name on the left side under devices and then click on the Summary Pane in the iTunes window on the right. Click on the Check for Update button and see if you can download and install the update that way.
Here is something else that you can try - not real sure that it will help but it certainly will not hurt. Close/quit all apps on the iPad and restart. Then try the update again.
Go to the home screen first by tapping the home button. Quit/close open apps by double tapping the home button and the task bar will appear with all of you recent/open apps displayed at the bottom. Tap and hold down on any app icon until it begins to wiggle. Tap the minus sign in the upper left corner to close the apps. Restart the iPad. Restart the iPad by holding down on the sleep button until the red slider appears and then slide to shut off. To power up hold the sleep button until the Apple logo appears and let go of the button.
