If you cannot remember the passcode, you will need to restore your device using the computer with which you last synced it. This allows you to reset your passcode and resync the data from the device (or restore from a backup).

If you restore on a different computer that was never synced with the device, you will be able to unlock the device for use and remove the passcode, but your data will not be present.

You may have to put your iPad in Recovery Mode

Plug into iTunes.  Then Click on your iPod name on the Left side of screen. Click Restore iPod. (MAKE SURE YOU RIGHT CLICK ON YOURE IPOD NAME AND BACKUP YOUR IPOD) It should warn you if you havent backed up your ipod. Then it will completely take everything off of your ipod and reinstall the Operating System.  After the OS is installed it should ask you if you want to set up your ipod as a new ipod or restore from previous back up. Hope I helped.. Strangely enough this also just happened to my sisters ipod too haha. Tell me how it worked or if you need any help.

This will not work you need to use this to restore the device http://support.apple.com/kb/HT1808?viewlocale=en_US as iTunes will ask that you enter the pass ode upon restore and if the pass code is not being accepted than you are "unable to update or restore" this will resolve the issue however it is a restore
