Backup the old iPad. Restore the new iPad from the old iPad's backup.'09 Mac mini, iPad 2, iPhone 4S, Mac OS X (10.7.3), iOS (5.0.1) Mac fanboi since 1984!

Copy any purchases from the iPad to your computer's iTunes via File > Transfer Purchases (that should copy any music, apps etc that aren't already on yourcomputer), and then backup the iPad by right-clicking the 'device' in iTunes and selecting Backup - a list of what is included in a backup is in this article http://support.apple.com/kb/HT4946 (it excludes music, videos, synced photos). You can then restore that backup onto the new iPad.
The restore won't copy passwords onto a different device, so you will need to re-enter your email, router, and any website passwords onto the new iPad.

We can always use iTunes or iCloud to transfer contents from our old iPhone, iPad, or iPod touch to a newly purchased iOS device.
