If you have any AntiVirus software installed and running in the background on your PC, temporarily disable and try to update the iPod again.

Try enabling iTunes through your Windows Firewall.

i have download ed ipode updater also but it say u have to restore it using itune

Can you just try and restore the iPod on another PC if you have one available?
