Move the new.ipa into a folder and put the old.ipa in its place in the folder structure of iTunes.

One step ckuan missed. Delete the app from the iPhone before
connecting to the PC and syncing. Otherwise, when you connect
and sync, the version on the iPhone will "back up" and overwrite
the one on the computer. By deleting the one on the iPhone itself,
the next sync will download the version on the PC to the iPhone.

Guys Hi, I don't think I could have explained myself correcty,
I have a PC at work with the old version of this app on it and I have copied the .ipa to a safe place.
My iPhone does not have the app installed at all and is synced to my Home computer.
I can't download the app from the app store as it now requires iOS5 and my iPhone is a 2G on iOS3.
The version on my Works PC would work, but my iPhone is not set to sync with it.
My home computer has neither, well at least I have not downloaded either ?
If I could some how put the ipa file on my home computer or preferebly just install it directly onto my iPhone ???

You can't directly install onto your iPhone. You can only do it via iTunes.
Try put the copied.ipa in your Home computer in the folder where all the other apps are found.
Start iTunes and see if the copied app is listed under LIBRARY > Apps.
If it does, connect and select iPhone in iTunes, select the app and sync.
Note: the copied app must be bought using the same Apple ID to make it work.

Thanks Guys, with a bit of tinkering I have managed to do it.
I copied the old version on to my home PC, but iTunes didn't see it, so I downloaded the latest version from the app store and then removed the new IPA file and renamed the old IPA to equal the new IPA.
I then closed and reopened iTunes, selected the App and synced to my iPhone and it installed fine
