Apple does not exchange from new retail stock for warranty issues. They only replace from service stock, comes in a brown box, which may be new or refurbished.
They offered to replace the device and you chose to refuse the replacement... what exactly do you want?

Yeah that's great, but it is an Apple product, and brand new retail box.
So if Apple does not recon its fault, how can you trust them.
The fact is they do not care about us and more less about the Chinese employees.

No one said you are getting a refurb. Apple is simply providing a unit from service stock which may be new or refurb. Considering the iPhone5 has been out for only about a month, it's unlikely there is any refurb units in the service stock.
Stop being so dramatic.
You get the same warranty regardless of which replacement unit you get.
