Thanks everyone.....trying to be patient......it did move a little in the past 15 min......
As I posted in another update thread:
My 2nd gen updated in about 15 minutes. The first 10 was the update to 5.1. I then selected Settings->General->Software Update and updated to 5.1.1 in about 5 minutes. I don't use it on anything but Wi-Fi and it works fine after the update.
My 3rd gen ATV is still in the 'Preparing update" and the progress bar is at about 80%. It was already at 5.1 so this is the 5.1->5.1.1 update. It has been updating now for over an hour. Maybe it will finish sometime this year. The 3rd gen is exclusively Ethernet so I'll soon know if the update to 5.1.1 breaks that aspect of my 3rd gen.
The update is stuck at the same place your is and has been for over an hour now, i.e. no movement at all.
My question is "Why did the 2nd gen update proceed so quickly and the 3rd gen so slowly?" After all, I started the 2nd gen update after I started the 3rd gen update.
UPDATE: After an hour and ten minutes it suddenly jumped from 80% to a restart and came up at step 2 of 2 which took about 3 minutes to complete. Now to testing...mid-2010 27" iMac, 16GB DRAM, OS X Mountain Lion, iPad '4'; ATV3; mid 2012 MBA;

60 minute mark and we're near the end of step 1 of 2 (AppleTV 2). Wife is asleep now so gonna let it finish.
This is a really stunningly bad, un-Apple like experience. Sat down to watch a movie on Sat night with the wife, AppleTV wants to be updated. We've learned that if we ignore it will just bug us 15 mins into the film so we say OK. Big mistake
We've had bad Apple TV update experiences before but this sort of takes it. Kind of shocked that Apple thinks this is acceptable user exprience.

After reading this thread I decided just to let it be and went to bed after about an hour of the grey bar not moving beyond half way on step 1. I woke up around four and checked it and the update had finished. So it is just a matter of time. But that's a long time.
In theory, everyone is downloading the iTunes update too, but that didn't take very long at all so I don't think it's a traffic issue. Why did this update take hours?
