Exclamation points appear when iTunes is unable to locate the media file or when a purchased item hasn't downloaded. The following article addresses what to do if you expereince this:

Many thanks for responding, Delgadoh. Unfortunately this doesn't move me any further forward - I simply cannot locate the "lost" music any where on my mac.
