If I understand correctly you are updating the iPad from the Settings app but tapping Agree to start the installation does not make anything happen. I would recommend quitting the Settings app:
Double-click the Home button.
Swipe left or right until you have located the app you wish to close.
Swipe the app up to close it.
When you have done that restart the device and test the issue again:
iOS: Turning off and on (restarting) and resetting
You can also use iTunes to update your iPad as an alternative:
Update the iOS software on your iPhone, iPad, and iPod touch
Update your device using iTunes
If you can’t update wirelessly, or if you want to update with iTunes, follow these steps:
- Install the latest version of iTunes on your computer.
- Plug in your device to your computer.
- In iTunes, select your device.
- In the Summary pane, click Check for Update.

- Click Download and Update.
If you don't have enough free space to update using iTunes, you'll need to delete content manually from your device.
Find out what to do if you get other error messages while updating your device.
