There may be some differences in features supported by the paired iPhone, depending on local regulations and what services the local carriers support (or don't). There may also be warranty differences. But the watch hardware and software are the same

See http://www.worldtimezone.com/gsm.html and http://www.worldtimezone.com/4g.html. Presumably iPhones destined for USA and parts of South America are built to use a different set of bands from those sold elsewhere.
