iPod touch asking for itunes password every time I wake it from rest

Hi,
Ever since upgrading to the latest iPod Touch OS last week, my iPod touch has been constantly asking for my iTunes password when waking it up. It used to only ask when there was a reason, like buying an App, but now it asks all the time and it is very annoying as I use a complex password. I could simplify it I guess, but that seems to be not a good idea to me.
What can I do to fix this?

iPod Touch 8GB, iPhone OS 3.1.2

I have been having the same problem. I have restored the ipod once, but it goes back into that mode of asking for my password every time. I don't enter my password though. I just hit cancel or enter a blank and it goes away, only to return later after being at rest. My thinking was if it was some kind of virus I did not want to be giving my password to anyone.

I hope someone can answer this. My next attempt will be to delete the apps off of the ipod. Perhaps one of the apps was not designed to work with this new update properly and it is causing the trouble. I'll let you know if that works.

Having the same problem except when I enter my password, it tells me it's incorrect and keeps asking. Also, if I just hit cancel, something then starts using up the battery and within a few hours, an otherwise fully charged unit is dead.

Already tried restore (twice) and reset (three times) as well as deleting suspected apps that might have gotten stuck in the upgrade process. No joy. Any help or suggestions would be appreciated.

Spoke to the Apple people. They suggested I do a restore on itunes and to choose the restore without backing up button. Before this I had done a restore with back up.

It took a while for it to rebuild and replace all my stuff, I have a 32 gig that is almost full, but restore without the back up seems to fix everything fine.

Wow, what a pain. So I have an app (flight log book) that keeps a data log, and if I rebuild all my apps, I would have to reenter all the entries for the last couple of years? That seems a bit much. The app backs up the data but to paper. Wish there was another solution...

Is there a problem if you've already bought an app? You can go back and load it again I suppose?

Yes, it's true you can cancel it asking for a password. I do that now, but it does still happen every time I unlock the iPod. Sometimes more than once.

It was suggested maybe some app is farming for my password? Any way I can find out if that's possible or not? Don't wanna see crazy charges on my credit card for apps I didn't buy...

mmm... interesting idea. I've googled how to downgrade but all the articles I've found are using MAC. Sadly, I'm still a Windows user. Any direction I can take to downgrade using the Windows version of iTunes? Thanks!

BTW, I've found if I turn off the iTouch completely after logging into a wireless network, I don't get the request for password.

Ah... well thanks for the update. No sense trying to do much with it, then. I suppose trying to roll back to a previous update might help but maybe I can wait for a future update. In any event, I've found I don't get this problem when I turn the device off after every wifi session (vs. sleep). Doesn't ask for a password and isn't killing the battery. So it's now annoying rather then killing my iTouch battery.

After having this happen to me this past week, I'll stand by my original response on this one. If you are connected to iTunes or the App store, and your download and/or update has not completed and your touch enters sleep mode or you turn it off, the touch will prompt you for the iTunes/App store password when it wakes up.

I don't see this as a problem, you just need to be aware that if you have any downloads in process that haven't completed, you will get this message. Turning off WiFi will certainly stop this as will shutting down the iPod, however, that seems rather pointless.
