Hi George,
Converting the Numbers file to MS Excel format is probably working as it should if it produces a file with the .xlsx extension. If that file is then opened in Numbers, then it will, like every other Excel file opened in Nubers, be converted into a Numbers file so that Numbers can work with it.
Do you have MS Excel installed on your Mac? If so, do you have .xlsx files set to open in Excel by default. If you are opening the files by double-clicking them or by clicking the file's icon in the Dock, they will automatically open in the application that is set to be the default app for opening that type of file. If that is Numbers, then Numbers will open the Excel file and translate it into Numbers' internal file format, making it a Numbers file—which is the only type of file that Numbers can use—just as it would do with a file created in MS Excel.

If you do not have Excel installed on your Mac, and are not using the online version of Excel, then there's no reason to expect the file to open in Excel.
