Apple watch S2 38mm - device locked and wont restore to factory

i've got a S2 which glass was broken and upgraded to a new watch and iphone. i've subsequently repaired the watch but it keeps telling me device locked - unlock with iphone. i've sent it to the istore and they now come back to say that the watch cant be restored to factory??? has anyone else experienced this?
