This prompt typically comes up during iPhone set up when you use iCloud Keychain. Because iCloud Keychain logs sensitive information, like login usernames and passwords, and credit card information, the information is encrypted. In order to decrypt that data, your new iPhone will request the old iPhone passcode as a form of identity verification.

If you don't remember the old iPhone passcode, that's fine. You can select the option that says "Forgot iPhone Passcode" and proceed with resetting your keychain. You will lose any previously saved login credentials or credit card information, but can re-add the information.
