This can get a little tricky and can cause issues if not done properly.
1) Update both iPHones to latest version of iOS.
Update iOS on iPhone - Apple Support
2) Restart iPhones
Force restart iPhone - Apple Support
3) Remove Participant as a Particpant. An account owner can remove the particpant or the participant can remove themselves.

4) Particpant should log out of their Apple ID and log back into their ID.
5) Invite the person to be a co-owner.

Since they are already a part of Apple Card Family (just not a particpant any more) they’ll receive the invitation to be a co-owner.
What account owners and co-owners can do on a shared Apple Card
Another item to be aware of is the account changes from an individual account to a joint account. The joint account cannot be split into two individual accounts. If a co-owner quits the account or removes themself from the account. The joint account is permanently closed, both parties are still responsible of the entire account, not just their spending and if either party wants an individual account, they would need to reapply for an individual account.

It isn’t for most account owners. But there are known issues like not have the most current version of iOS. Security improvements/enhancements may prevent Participants from transitioning to a co-owner.
So, at a bare minimum, remove the participant and then make sure iOS on your iPhone and participants is most recent iOS.
If invite to co-owner fails, we can troubleshoot from their.
One thing to keep in mind, is there is not another credit card available in the US that allows an account holder to change an individual account to a joint account and invite another person to be a co-owner. Apple Card is the only card that does this and having done this same procedure with my wife, I prefer to error on the side of caution.
This seems way more complicated that it needs to be. Not even really sure its worth the effort!!!
