Hello there, I have an ipad 12.9 pro and second gen apple pencil i bought them like 3 years ago.
Recently idk why my pencil keeps connecting and disconnecting to the ipad after few sec and its happening contantly.
Is this a problem with the devices or maybe its a software problem?

Try testing your Pencil with another compatible iPad; if the problem is consistent, the Pencil has a fault. If the problem cannot be reproduced using another iPad, then your iPad may have an issue that we need to explore.
If you don't have ready access to another compatible iPad, consider visiting an Apple retailer, or official Apple Store, that have display models with which you can test your Pencil. If by connecting and disconnecting you mean as you write, it keeps skipping here and there, that's usually a sign that the pencil tip needs to be replaced.

My apologies. When mine starts behaving this way it is usually the tip needs replacing, so that was my first suggestion since it seems to be the most common with a lot of users. I'm sorry that I was wrong.
My second suggestion would have been the same as LotusFlower gave you about the battery.
