You will need to do a restore. From http://support.apple.com/kb/HT1212 :
If you cannot remember the passcode, you will need to restore your device using the computer with which you last synced it. This allows you to reset your passcode and resync the data from the device (or restore from a backup). If you restore on a different computer that was never synced with the device, you will be able to unlock the device for use and remove the passcode, but your data will not be present.
As you've never synced you are effectively in the 'restore on a different computer' situation.
More info on restoring here http://support.apple.com/kb/HT1414
but the problem is in order to restore the device I have to have it come up on Itunes under Devices..but that is not happening since Itunes won't connect to the device unless it was unlocked. Therefor I can't see it under devices or anywhere on my computer. thanks a lot for the prompt reply.
