Oct 12, 2011 12:45 PM in response to cwaltenbockerby jsl2,We could all save ourselves a little stress if we read/headed the posts of the several folks that nailed the issue! It is an Apple Server overload issue. Either keep trying or wait for things to calm down. No need to be fiddling with a bunch of crap on your phone or in iTunes .
Can't wait to try it out. I guess I am not alone which is why the servers are overloaded!

Oct 12, 2011 12:45 PM in response to checkyourmirrorsby GravelSJ,I had this issue on my 3GS. Here are the steps I took with Apple Engineering's Support:
1. I rebooted my Windows 7 machine
2. I TEMPORARILY disabled my virus and firewall
3. Restarted itunes
4. Reconnected the 3GS to the USB cable
5. Clicked "Update"
The backup took a lot longer than normal and the whole thing was complete in about 20 mins. I now have iOS 5 and it appears to work great!

First download the iPhone Firmware from the following site, It is the official firmware and even downloads from Apple.
http://www.felixbruns.de/iPod/firmware/ - Choose your model, e.g iPhone 4
Now once that is downloaded go to the following folder -
C:\Users\YOURUSER\AppData\Roaming\Apple Computer\iTunes\iPhone Software Updates
Once you are they copy the file you just downloaded into it, then click Update. It will now skip the download process and will Update. I was having the same issue then I did this and its almost updated. Hope it helps

Several have argued that it's a pain because the backup takes so long. 1. I think there is a way to do it without backing up each time; unfortuantely, this is a lame offer since I don't know what that is (although i'm sure if it is true you can find in forums). 2. I just made it so my backup doesn't take long. Took a lot of the big stuff off the phone before doing it. It'll be easy to put it back on there (music, video; that's my only "big" stuff).

I have two PC's, both Win 7 / 64. One is used for my iPad and one is used for my iPhone. I can't get either device to upgrade to iOS5 as they both get the 3200 error.
I have ZERO firewall turned on... ZERO antivirus turned on, and running newest iTunes. So all basic fix stuff has been tried.
So if we are sure it is an Apple Server Connection Issue, then I won't keep troubleshooting and just keep trying until it goes through.

Oct 12, 2011 12:53 PM in response to princessmandawby teleutaia,Noone seems to be noticing that the device isnt connected and synced properly when the update fires off. Whenever the update seems to be verifying the device in preparation for the install, my iPhone isnt completely restarted and my computer hasnt completely recognized it yet. This seems like poor planning/execution.

It is not your internet, laptop, or anything that you own. So what is left? Apple. They are being bombarded by requests, and it is obvious that is the issue.
Retrying over and over and over again is not fixing the issue, either, but contributing to it. If you can be patient and wait, and try again later, you'll probably find success.
For future reference, any 3XXX code is network related.
