Ringtone greyed in iTunes, won't sync to iPhone 4S

I bought a ringtone on my iPhone 4 and it worked great. After upgrading to ios5 on my iphone 4 I had a problem but it was quickly remidied by resyncing with itunes. I just bought an iphone 4S and the ringtone was not transfered to my new phone (but all other ringtones bought through itunes did) and now it's greyed out in itunes with a circle and turning arrows paused next to the title. It won't play in itunes. Any one have any ideas?

The ringtone is Sex and the City by The Couch Potato All-stars.
