Whenever I try to update my iphone to ios 5.. am gettin error message... What's the problem whether my phone is not supporting or any other problem.. pls help me to tackle this issue....

Im having the same issue. I waited about 2 weeks in between to see if it would work but no luck. I have an iphone 4 and my error message is stating "This phone not eligible for the requested build." Not sure what that even means.
Are you positive that's the message? The ENTIRE message? Is this a Windows error or an error in iTunes? There's some information missing here somewhere? The only references I see for an error 3229 related to an iPhone indicate a registry problem on a PC.
am getting this error in itunes especially when completing the download for the update this error occurs..... even if my iphone is connected it returns with same error mesage....
You are probably getting error 3259, right at the end of downloading the update. Temporarily disable ALL of your antivirus/antispyware software and open your firewall and try again.

Where are you and where did you get the phone?
I'm in atlanta ga, I got the phone at Verizon store, my phone is version 4.2.6
Are you running iTunes 10.5?
