I have been letting this thing go for nearly 24 hours now and it is still stuck on step two.

I have restarted itunes a few times but step 2 is still stuck..

same issue here. I don't know what is going on. I can't even open my itunes to listen to music now because within 2 minutes it will freeze. I'm so disappointed.

I had similar concerns until I decided to check for network life signs in Activity Monitor. What I saw was full upload activity - so I presumed that the "stuck in action" thing during iTunes matching step 2 was related to the tiny upload bandwidth I have with cable provider (125KB/sec, though download is 10x that figure). Sure enough, iTunes finished matching a few hours later (over night) and all was fine. I think the trouble is that the progress bar in iTunes Match does not correctly reflect what's going on under the hood, i.e. the lengthy upload process due to the throttled upload bandwidth with many cable providers. Apple could have chosen to better notify people about this time consuming process?
