ODM is an Overdrive media file.
ODM files checked out from a library usually are copy-protected and cannot be converted, by iTunes or any other software. If so, they can only be played in a device that can run Overdrive's software. You'll need to consult with your library and possibly with Overdrive to learn if there are any options that would allow the audiobook to be played on a standard MP3 player.

Incredibly, it actually works to transfer using Overdrive instead of iTunes, and without reformatting (I've also been trained that all must pass through iTunes to reach the sacred pod.) The audiobook can be found hiding within the Music menu. I guess the library should be a little harder than for-profit audiobooks, so as to not compete.
The OP was asking about converting files. Using Overdrive to play files on Apple things has been around for a few years but they are still in the copy-protected form I bet.
The ODM app for Mac downloads the files and they are typically mp3 files. Once they have downloaded you can drag and drop them into iTunes, create a playlist of the book chapters and then sync with your iPod. Worked very straight forward for me.
i know it's been a while but i found that you can now transfer from the desktop overdrive app to itunes. not sure if this has been updated elsewhere but i'll poke around.
