I notice that your iPod appears to have iOS 4.2.1 installed on it at the moment (the text under your post). That suggests that you have a 2nd generation iPod Touch. Go to http://support.apple.com/kb/HT1353 so that you can accurately identify which model you have.

If it is 2nd generation, then it cannot install iOS 5, it can only go as high as iOS 4.2.1
