Make sure your Mac meets Lion's requirements...
- Mac computer with an Intel Core 2 Duo, Core i3, Core i5, Core i7, or Xeon processor
- 2GB of memory
- OSX v10.6.6 or later (V10.6.8 recommended)
- 7GB of available spare

If you have anti virus software installed, disable that.
Try turning off the Firewall in System Preferences > Security
If you have an app called Little Snitch installed, that can prevent files from downloading including Lion.

Where the price is it simply converts to Installing and there is no progress bar to show how far along it is which in my case will be a very long journey. This is interestingly enough the first time I've ever had a download steal almost all of my bandwidth tho. I can barely get anything else in or out. I've checked all the things you mentioned. I just hope my early Core 2 Duo works. I don't think it will for Mountain Lion and I may be at the end of my upgrades in both machines.

That should be ok if your Mac has enough free disk space.
Right or control click the MacintoshHD icon. Click Get Info. In the Get Info window you will see Capacity and Available. Make sure there's a minimum of 15% free disk space.

Minimum requirements and not enough free space can cause the problems you are experiencing.
