Upgrading iPhone

Hi All, i have decided to upgrade myself to an iPhone 4S, and would like to pass my iPhone 4 to a family member who recently had hers stolen. What is the correct procedure for doing this as far as iTunes/appstore etc are concerned. Your help and advice is appreciated, thanks.
