Since you're on iOS 4 you have to use a computer. If both iPhones call the same computer "home" then you can download and install iOS 5 on the 1st one, then update the 2nd from the same iOS download.

If the 2nd iPhone belongs to a different computer, it's possible to transfer the iOS download from one comptuer to another, but probably easier to simply re-download it on the other computer.

Either way, be sure do do a backup of the iPhones first, and if you have Contacts that are not backed up separately from iTunes then do that first since Contacts are not part of the iOS backup done by iTunes.

So, that you are telling me, is that I should "download only" and not "download and update".

No I'm not saying that. For the first iPhone you can "download an update", then the 2nd one would be just "update" since the iOS file has already been downloaded (and "update" would be the only option for #2 since iTunes knows iOS has already been downloaded). Of course you can also "download only" and then "update" each iPhone at a later time, your choice.

As far as where the iOS files live, assuming you use a PC take a look here:

C:\Documents and Settings\(account name)\Application Data\Apple Computer\iTunes\iPod Software Updates

Look for the .ipsw and .signature files with 5.1.1 in the name. If you need to copy this to a 2nd PC to save your download time and cost, just copy these files to the same location on the other computer before launching iTunes.

Once downloaded and if the iphones are the same exact model then it will not attempt to download for the second one because it already has the update file. You don't need to really know where it is becauase iTunes will find it and update the phone. If the two phones are different models, ie iphone 3GS and iphone 4 then you will have to download for each phone. iOS is written specifically for each different hardware model.
