You must restore your iPad as a new iPad or not from the backup.
The Restrictions Passcode is included with the backup and if you restore from the backup you'll restore the Restructions Passcode as well.

if i restore, what will happen to the current applications i have? how about the pictures/videos i have on my ipad? so i need to save them all first then restore?
All apps on your iPad should be in your iTunes library on your computer.
If not, with your iPad connected to iTunes at the iTunes menu bar go to File and select Transfer Purchases From - the name of your iPad.
Photos/videos in the Camera Roll can and should be imported by your computer as with any other digital camera.
Hi - I am trying to restore the ipad so I can return it( w/out my personal info still in it)
and get a replacement from damage. It is telling me i cannot restore/ until i turn off Find my ipad- however, apparently because of the restriction, the find my ipad is not highlighted so i cant click on it.
Tatrtotnla, Did you get a useful answer to your question re turning off Find My iPad? I have exactly the same issue and can't find any answers that work.
If the iPad is online then you can try removing it from your account by logging into it via http://icloud.com
Otherwise you can try recovery mode and resetting it back to factory defaults via your computer's iTunes : If you can't update or restore your iOS device
