Because you very very likely have a 2G iPod. Those can only go to 4.2.1.

The iPod touch (3rd generation) can be distinguished from iPod touch (2nd generation) by looking at the back of the device. In the text below the engraving, look for the model number. iPod touch (2nd generation) is model A1288, and iPod touch (3rd generation) is model A1318.

3G were only made in 32 and 64 GB while 2G were in 8, 16 and 32 GB

thanks i can not read the model # but i can see the 8gb on the back, so im asuming its not a 3. I was tring to download an app for my son that requires 4.3.
