If you want to restore the settings and data from your old phone to your new one, restore from the backup of your old phone (see http://support.apple.com/kb/HT2109). You will still have to sync with iTunes to transfer apps, music, and other iTunes media back to your phone.
well if u want most of eveything in your phone that was in ur old one dont set it up as a new.... but if u want to start as a fresh iphone set it up as a new.
