Aug 26, 2012 11:42 AM in response to yar1fby Demo,If you are using iTunes to create the backup .....Yes it will erase it completely. Don't do that yet. You have to "introduce" the old iPad to your iTunes library since they have never met before.
Launch iTunes (without connecting the iPad) and go to Edit>Preferences>Devices. Click on the box at the bottom .... Prevent iPods, iPhones and iPads from syncing automatically. Click OK. Quit iTunes.
Connect the old iPad to your PC and launch iTunes. Right click on the iPad name under devices. Select - Backup and let the iPad backup to iTunes. Right click on the iPad name again and select - Transfer Purchases. Let that process complete and then sync the iPad. Now eject the old iPad.
Connect the new iPad and when prompted - restore from the backup of the old iPad and then sync with iTunes.
If you are using iCloud to backup the old iPad as Diavonex suggested - you would not be getting that message at all.
