For some, it is because they do not have full Administrator privileges to their music folder. Go to your My Music library in Windows Explorer, open the iTunes folder, and then open the iTunes Media folder, and then try to open the Music folder. If you do not have privileges for it, it should prompt you and if you click OK it will fix.
The other cause of the problem could be a random temp file existing in the iTunes media folder. Go to your My Music Library and open the iTunes folder. You will see some folders that say iTunes media, Album artwork, your iTunes library, etc. If there is a temp file (mine was called "Temp") in that folder then that is probably the cause. You cannot delete it, but restarting my computer made it go away and iTunes remembered my settings. I had to do some slight rearranging but then it stopped doing that. For some reason, that temp file appeared when I had just recently downloaded a song, so maybe that had something to do with it.
Try the first solution and if it doesn't work try the second. Hope this helps

Right-click on your main iTunes folder and click Properties, then go to the Security tab and click Advanced. If necessary grant your account and system full control to this folder, subfolders and files, then tick the option to replace permissions on child objects which will repair permissions throughout the library. This is the XP dialog but Windows 7 shouldn't be too different.
Empty/corrupt library after upgrade/crash
Hopefully it's not been too long since you last upgraded iTunes, in fact if you get an empty/incomplete library immediately after upgrading then with the following steps you shouldn't lose a thing or need to do any further housekeeping. In the Previous iTunes Libraries folder should be a number of dated iTunes Library files. Take the most recent of these and copy it into the iTunes folder. Rename iTunes Library.itl as iTunes Library (Corrupt).itl and then rename the restored file as iTunes Library.itl. Start iTunes. Should all be good, bar any recent additions to or deletions from your library.
See iTunes Folder Watch for a tool to catch up with any changes since the backup file was created.
When you get it all working make a backup!
