No, they are identical with two exceptions:

Licensing seems to be different: you can install the box version on a desktop and a laptop; the Mac App Store version can be installed on "any Macintosh that you control"
The box version checks for the serial number, the Mac App Store requires your iTunes account.

Features, etc. are all identical.

Thanks, this is great. Are they going to eventually get rid of box version like they did for final cut and just have app store version? I havent seen an upgrade in a long time and am hoping they do make it a lot easier like they dod for final cut.

Thats what they already did last year: Logic, MainStage, Compressor are now available in the Mac App Store as downloads. The box is gone.
