what does it say?

is the downloaded version of iTunes 32bit as well?

you probably downloaded 64bit version

please redownload from http://www.apple.com/itunes/download/

and make sure it says iTunes for Windows (32-bit)

it should automatically detect your system and it says the version before you click Download
