Mac Pro DOA

So I was working & heard a rather noticeable "click" and the Mac shuts down. I press the power button and I hear the fans run but no startup chime, only a continuous red light near the large rectangular heat sink as well as one behind the front panel mesh (just under the first hard drive), no red lights near the 4 RAM slots.

Assume maybe a CPU or logic board...??? 😟

2009 Mac Pro Quad Core, 8GB RAM, Snow.
