I keep getting the upgrade notice for my apple tv software, start the upgrade, wait for download, then install, only to be notified that it failed to install. Over a week of this so far with more than 10 attempts.
iPad 2, iOS 5.1.1, Power=responsibility...be better

I have the same issue
I tried to update the software for days and was unsuccessfut. I ended up going to MacRumors and followed these instructions:
The first option was to unplug the Ethernet Cable from your Apple TV and update over your Wi-Fi.
This worked for me!!!!
My AppleTV has been trying to Upgrade "Unsucessfully" for weeks now. Unpluging the ethernet and using Wi-Fi worked for me.
