ATT gave me permission to unlock my old iphone after an upgrade.
the directions ATT provided are not clear.
Do I need to place a new SIM card to unlock the phone or can i unlock it without a new sin card??
After I requested to unlock my iPhone from AT&T (and it was approved) I had to go to iTunes to restore the phone with the unlocked software. I don't recall if I had to restore it, or if I could had just updated - either way that is what I had to do. No code to enter.
I would like to give the phone as a gift to friend.
can I unlock it by erasing the contents and settings and not restore the backup?

Haven't tried that myself... But I have my doubts that you can do that as the process will not be completed in one session and you will not have gotten the all important iTunes message that is along the lines of... Congratulations your iPhone is now unlocked...

Seems to me that there are a few pertinent facts missing from this senario
i had an iphone 4 with its own SIM card
i upgraded to a iphone 5 that had its own SIM card.
I kept the same number.
I backed up the old iphone 4 to itunes and backed up the information to the new iphone 5.
The iphone 4 still has a SIM card, though it has no cellular service.
Is that any clearer?

Based on my experience, I don't you would have a problem giving the phone and having them perform the restore. I used a computer that never saw that iPhone 2G as I hadn't used it in years and the sim card was deactivated. I don't remember the steps I took with the sim cards, but if I was required to use a different SIM, I threw in an old T-Mobile sim (everytime I have unlocked a phone, it needed to be another carriers sim). But regardless, if the person you are giving it to doesn't have an AT&T sim, they should be able to insert it, connect to iTunes and tell it to restore the phone (unlocking it). The reason I think this will be fine is my assumption is that it is tied with the phones ID not you or your sim. I can't garantee, but I think you will be ok having them restore the phone after AT&T approves it.

First turn off iMessage and Facetime on your iPhone 4
Do this: Settings > General > Reset > Erase All Content and Settings.
Next connect your iPhone to your computer and Restore it as a new iPhone. You will get the message, "Congratulations your iPhone has been unlocked."
I did this, with the inactive microSIM, on my iPhone 4.
