I am trying to upgrade from Lion to Mountain Lion. The upgrade stops, and goes back to startup with the apple, and then starts to make a beep sound. What should I do?

But I have a CD... Is it possible to start from the CD?
I have a backup ok..
What OS is the CD? The last DVD OS release was Snow Leopard (10.6).
Could you boot in the Safe Mode?
Can you start by booting to the Recovery Volume (command - R)?
The beep sound may indicate the computer needs to be worked on. Can you elaborate on the beep sound.
Since your system won't boot, you should be able to boot from the CD.
