plug it into your pc or mac and go into iTunes go to your iPod click it, then your iPod info should pop up. Click update, then it will update.
No, it won't; a second generation iPod touch can't be updated past 4.2.1.

No, as previously said in the discussion you have a 2G iPod and those can only go to 4.2.1
