I found how to fix the ! problem on Mac

This might not work for everyone but if you have a Mac and if many or all of your songs on iTunes have the exclamation point next to them the simplest thing you can do to fix it is just "restart" your computer.

This worked on my computer but it might not work for everyone else.

I don't know what version of Mac i have but for iTunes it is the latest version.
