iPOD 2nd gen 32 gb

1) keeps on freezing and hanging. tried resetting it with original factory defaults. still freezing

2) now all the apps available need the iOS to be at ver5. how to upgrade this 2nd gen iPod to iOS V5.

iPod touch, iOS 4.1, 32 GB
