Correct, that model can not be upgraded beyond 4.2.1.

But there are lot of apps, which are required to run in ios 5, eg Facebook
So is there NO solution for this?

There is NO way to upgrade the 2nd generation beyond 4.2.1. If the App requires a version of iOS higher than 4.2.1, you can NOT install it.
