I suspect you have a 2G iPod. Those can only go to iOS 4.2.1.

You most likely have a 2 gen iPod which cannot be udgraded beyond iOS 4.2.1.
Older iPods need to be connected to a computer to update. However, if it's too old it can't update any further.
The Software Update function was introduced in iOS 5.
