The exclamation point next to the songs mean that iTunes cannot find the associating files to play. You can use the first article below will assist with finding those files. The second article will assist with steps on how to remove duplicates from iTunes.

For duplicates I have another script called DeDuper that cleans up, while preserving playlist membership, highest rating and merging play counts. Please heed the warning to backup first and review this background thread on what it does.
