Why? what happens when you try?
If this phone is running a corporate Exchange account, then a passcode may be required and the option to turn off the passcode will be disabled.
I can see "Turn Passcode off" under settings/general/passcode lock but i cannot select it, it's grayed out and yes, I have my corporate exchange account running on this phone.
If you have a corporate exchange account set up on the phone, and they require a passcode for mobile devices, you will NOT be able to remove the passcode without first completely removing the Exchange account.

can i remove my account, turn off passcode, then re-install or turn on my Exchange account?

If you do so, you will be forced to set a passcode again. This is a requirement set by the administrators of your Exchange account.
Your choices in this situation are: Remove the exchange account, remove the passcode, and do NOT re-add the Exchange account.
Keep the Exchange account and live with the passcode requirement.
Buy your sysadmin a nice bottle of single malt Scotch Whisky and ask nicely if they would consider changing the policy.
