Do you have low battery and are you connected to wifi. I think you have to have like 50% or be plugged into the wall. you also have to have a wifi connection no 3G or 4G. I don't know why. good luck

The update is there but no install tab. I updated my other iPad no problem.
Is it possible you don't have enough free space?
try going into setting general reset. Then reset all setting. That will almost refresh everything but you will loose your background and settings. if you don't want to reset all your setting which I can understand try just hooking it up to itunes and update from there. what every you do don't hit erase all content that wipes out you whole ipad. if I am no help you might be able to get more people to help if you list this in the ipad section
That is a good point you might not have enough space. go into general then about. see how much space you have

Well no, you would have to remove some items from your device.

You need at least 3GB of free storage on the device itself to install the update directly.
Alternatively you can install through iTunes on a computer and the updated would require much less space on the iPad.
However running an iPad with the available space being so low is not recommended. You should try to delete some stuff to make room even if you do install through iTunes on a computer.
Youn want to have at least 1 to 2GB free for optimum operation regardless of update medium.

You'll need to connect your iPad to a Computer running iTuines (Can be a Mac or a Pc doesn't matter) and follow the update prompts.
You'll probably want to back up the iPad before updating though.
