That exclamation point can be solved by following the directions in here:
iTunes: Finding lost media and downloads

It is most likely an interrupted download that you'll want to resume:
Resume any interrupted downloads.
- Choose iTunes > Store > Check for Available Downloads.
- Click Resume if any downloads are listed as unfinished. Learn more about how to resume interrupted iTunes Store downloads.
