There can be any number of reasons a device isn't working... Let's start here:
What generation of Apple TV do you have?
Is Bluetooth turned on, on the Apple TV?
Does the Keyboard have fresh batteries?
Have you gone through the Syncing process yet?
Does the Keyboard work when paired to a computer or iPad?

Keep in mind that the keyboard cannot be connected to another device while attempting to pair with the ATV. It will only connect with one device at a time.
Hmm, seems like The Keyboard is fine, so the issue must lie with the Apple TV.
Try this:
1. Hold Menu + Down on the Apple TV remote for ~10 seconds. this will restart the Apple TV and clear it's RAM buffers. Re-Pair the Keyboard and test it again.
IF that doesn't work,
2. Reset all settings on the Apple TV
Settings > General > Reset > Reset all Settings
Go through, re-set up and re-sync the Keyboard.
If that fails, the Apple TV OS may not be communicating with the Bluetooth card.
3. Restore the Apple TV through iTunes
Connect the Apple TV to your computer Via Micro-USB, and Restore it. Re-setup, and pair the keyboard.
If all else fails, then there may be a problem with the BlueTooth card on the Apple TV and would recommend going into a store at that point.

The problem is: The original Apple Wireless Keyboard (2003), that features a white case and uses four AA batteries, is not compatible. (http://support.apple.com/kb/HT5633).
Well then, there you go. Keyboard isn't compatible.
I'm having the same problem using a apple keyboard that came with a late 2013 iMac. It has been unpaired from the iMac. I tested it by trying to pair it to a iPad2 and it worked no problem. I then unpaired air from the iPad and tried to pair it with a Gen2 and Gen3 Apple TV in both instances it sees the keyboard but will not pair.
Am I doing something wrong?
