It sounds as though you are encountering IOS 7's Activation lock, If that is the case, please see http://support.apple.com/kb/ht5818 which describes this feature, and what needs to be done to make the phone usable is described in http://support.apple.com/kb/TS4515

Use the same Apple ID and Password you used on your old phone.
