The exclamation mark indicates that the music files are no longer on your computer where iTunes is expecting to find them, which could be because a directory has been deleted, moved or renamed, or if the media was on external drive then it's drive letter has changed.

If you can't locate it on your computer (and you've checked the recycle bin as well) then do you have a copy of your library on a backup drive that you could copy it back from ?
