iCloud, New iPhone

HI, I have a iphone 4s, I just bought an iphone 4 to me and now I am giving the 4s to my mom. I have som important things on my icloud on my iphone 4s that I dont want my mom to se, but I also want to have it om my new iphone 4.

It only says that I can delete my icloud but wont that delete everything on it? And can I delete it from my iphone 4s and log on to my new iphone 4 icloud and get all the data that I had on my Iphone 4s?
